本合同由買賣雙方締結(jié)，用中、英文字寫成，兩種文體具有同等效力，按照下述條款，賣方

同意售出買方同意購進以下商品：

第一部分

１．商品名稱及規(guī)格

２．生產(chǎn)國別及制造廠商

３．單價（包裝費用包括在內(nèi)）

４．?dāng)?shù)量

５．總值

６．包裝（適合海洋運輸）

７．保險（除非另有協(xié)議，保險均由買方負(fù)責(zé)）

８．裝船時間

９．裝運口岸

１０．目的口岸

１１． 裝運嘜頭， 賣方負(fù)責(zé)在每件貨物上用牢固的不褪色的顏料明顯地刷印或標(biāo)明下述嘜頭，

以及目的口岸、 件號、 毛重和凈重、 尺碼和其它買方要求的標(biāo)記。 如系危險及／或有毒貨物，

賣方負(fù)責(zé)保證在每件貨物上明顯地標(biāo)明貨物的性質(zhì)說明及習(xí)慣上被接受的標(biāo)記。

１２．付款條件：買方于貨物裝船時間前一個月通過＿＿＿＿＿＿銀行開出以賣方為抬頭的

不可撤銷信用證， 賣方在貨物裝船啟運后憑本合同交貨條款第１８條Ａ款所列單據(jù)在開證銀

行議付貸款。上述信用證有效期將在裝船后１５天截止。

１３．其它條件：除非經(jīng)買方同意和接受，本合同其它一切有關(guān)事項均按第二部分交貨條款

之規(guī)定辦理，該交貨條款為本合同不可分的部分，本合同如有任何附加條款將自動地優(yōu)先執(zhí)

行附加條款，如附加條款與本合同條款有抵觸，則以附加條款為準(zhǔn)。

第二部分

１４．ＦＯＢ／ＦＡＳ條件

１４．１． 本合同項下貨物的裝運艙位由買方或買方的運輸代理人＿＿＿＿＿＿＿＿＿＿＿

The Contract, made out, in Chinese and English, both version beingequally authentic,by and between the Seller and the Buyer whereby the Seller agrees to sell and theBuyer agrees to buy the undermentioned goods subject to terms and conditions setforth hereinafter as follows:

SECTION 1

7 Insurance (to be covered by the Buyer unless otherwise)8 Time of Shipment

mark shown as below in addition to the port of destination, package number, grossand net weights, measurements and other marks as the Buyer may require stencilledor marked conspicuously with fast and unfailing pigments on each package. In thecase of dangerous and/or poisonous cargo(es), the Seller is obliged to take careto ensure that the nature and the generally adopted symbol shall be markedconspicuously on each package.

12 Terms of Payment:

One month prior to the time of shipment the Buyer shall open with the Bank of _______anirrevocable Letter of Credit in favour of the Seller payable at the issuing bankagainst presentation of documents as stipulated under Clause 18. A. of SECTION II,the Terms of Delivery of this Contract after departure of the carrying vessel. Thesaid Letter of Credit shall remain in force till the 15th day after shipment.

13 Other Terms:

Unless otherwise agreed and accepted by the Buyer, all other matters related to thiscontract shall be governed by Section II, the Terms of Delivery which shall forman integral part of this Contract. Any supplementary terms and conditions that maybe attached to this Contract shall automatically prevail over the terms andconditions of this Contract if such supplementary terms and conditions come inconflict with terms and conditions herein and shall be binding upon both parties.
